The Service depends on third-party providers and infrastructure, and model availability, pricing, and output quality may change over time.

QuotaWise may offer subscription plans, prepaid credits, usage-based plans, promotional offers, or other paid access options. Plan details, including usage limits, included features, model access, renewal terms, and any promotional pricing, are described on our pricing page or order flow.
Recurring plans renew automatically at the interval shown during checkout unless cancelled before renewal. Usage-based or credit-based plans may consume credits or quota based on the model, request type, token count, provider cost, or other pricing rules shown in the Service. You are responsible for any applicable taxes unless they are already included in the listed price.
Payments are non-refundable once charged, except where required by law or where we expressly agree otherwise in writing. If you cancel a recurring plan, you will retain access to the paid plan until the end of the current billing period. Unused credits, quota, or promotional balances are not redeemable for cash unless required by law.
You may upgrade or downgrade your plan when the Service makes that option available. Changes may take effect immediately, at the start of your next billing cycle, or as otherwise described in the order flow.
Payments may be processed by third-party payment providers. We do not store full payment card numbers. Your payment provider may process billing data under its own terms and privacy policy.

The Service and its original content, features, and functionality are and will remain the exclusive property of QuotaWise and its licensors. You retain ownership of content you submit to the Service for processing.
You are responsible for the content you submit to the Service and for ensuring that you have the rights and permissions necessary to submit it. You grant QuotaWise a limited license to process your submitted content solely as needed to provide the Service, secure the Service, troubleshoot issues you report, or enforce these Terms as described in these Terms and our Privacy Policy.
AI model outputs are generated by third-party models. Your rights in outputs may depend on the terms of the model provider you selected, applicable law, and the rights of third parties. QuotaWise does not guarantee that outputs are accurate, unique, non-infringing, or suitable for any particular use.
QuotaWise routes requests to third-party model providers and infrastructure providers. Those providers may change their models, prices, limits, availability, output behavior, safety systems, or terms over time. Your use of a model may be subject to the provider's own terms, acceptable use rules, privacy policy, retention practices, and regional restrictions.
We may add, remove, rename, replace, restrict, or reroute models when reasonably necessary for availability, security, compliance, pricing, provider requirements, or Service reliability. We are not responsible for third-party provider outages, provider policy changes, provider output quality, or provider handling of content beyond our direct control.

We may remove or restrict access to allegedly infringing material and may terminate accounts of repeat infringers where appropriate. If you believe material was removed by mistake or misidentification, you may submit a counter-notice with information sufficient for us to evaluate the request.
We do not store or retain the content of LLM requests or responses after processing. We do collect account information, billing records, and limited service metadata such as request counts, token usage, selected model, latency, timestamps, and error rates for billing, abuse prevention, service operations, and support. If you voluntarily provide request or response content to us for support, debugging, or abuse review, we may process that content for the limited purpose you requested or for Service protection.
We strive to provide uninterrupted Service but do not guarantee that the Service will be available at all times. We are not responsible for interruptions caused by third-party model providers, network issues, or maintenance periods. We will make reasonable efforts to notify users of planned maintenance.
We may suspend or terminate your access to the Service, in whole or in part, immediately if we reasonably believe:

You remain responsible for charges incurred before termination, and unused credits, quota, or promotional balances may expire unless required by law or expressly stated otherwise in writing. You agree to defend, indemnify, and hold harmless QuotaWise and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Continued use of the Service after any such changes constitutes acceptance of the new Terms.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and each party consents to the personal jurisdiction and venue of those courts.
